These Terms & Conditions ("Terms") govern your access to and use of CoPulse websites, applications, and related services (the "Service") operated by CoPulse ("we," "us"). By creating an account or using the Service, you agree to these Terms.

Eligibility and accounts

You must be at least 18 years old and authorized to bind your organization. You are responsible for safeguarding credentials and for all activity under your account. Provide accurate registration information and keep it current.

The Service

CoPulse provides customer engagement tools including omnichannel messaging, CRM, campaigns, AI agents, workflows, and related analytics. Features may change over time; we may add, modify, or discontinue functionality with reasonable notice where practical.

Wallet billing and usage

• Platform access may be offered without a recurring subscription fee; usage of paid channels and AI features is billed through prepaid wallet balances.
• You authorize debits from your wallet (and linked sub-wallets) for messages, calls, AI processing, and other metered services at published or in-app displayed rates.
• Wallet top-ups are non-refundable to your payment method; funds remain in your wallet for platform usage. See our Refund Policy.
• If your balance is insufficient, outbound campaigns or certain automations may pause until you top up.
• You are responsible for taxes, carrier fees, and third-party charges imposed by channel providers you connect.

Your content and customer data

You retain ownership of content you submit. You grant us a limited license to host, process, and transmit content solely to operate the Service, including AI features you enable. You represent that you have the rights and consents needed to message your end customers through connected channels.

Acceptable use

You agree not to:

• Send unlawful, deceptive, harassing, or unsolicited messages in violation of applicable anti-spam or telecom rules.
• Use the Service to distribute malware, phish, or infringe intellectual property.
• Attempt to bypass security, rate limits, or wallet controls.
• Reverse engineer the Service except where permitted by law.
• Use the Service in ways that harm CoPulse, other users, or third-party providers.

Third-party channels and integrations

WhatsApp, email, telephony, and other connectors are subject to their own terms and policies. You must comply with those requirements. We are not responsible for outages, policy changes, or account suspensions imposed by third parties.

AI features

AI-generated outputs may be inaccurate or incomplete. You are responsible for reviewing automated replies, campaigns, and workflows before they reach customers. Do not rely on the Service as a substitute for professional advice where human judgment is required.

Confidentiality and security

We implement measures designed to protect the Service, but you must configure roles, approvals, and channel credentials appropriately. Notify us promptly of suspected unauthorized access.

Suspension and termination

We may suspend or terminate access for violation of these Terms, non-payment, legal requirements, or risk to the Service. You may stop using the Service at any time; certain provisions survive termination.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COPULSE AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.

Indemnity

You will defend and indemnify CoPulse against claims arising from your content, your messaging practices, or your violation of these Terms or applicable law.

Governing law

These Terms are governed by the laws of the jurisdiction where CoPulse is incorporated, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction unless otherwise required by applicable consumer protection law.

Changes

We may update these Terms. Continued use after the effective date of revised Terms constitutes acceptance. Material changes will be posted on this page.
